Job Description

Our client is a one of the world's largest banking and financial services organizations, headquartered in London. This is a 12 month contract [open to extension] role. Job Responsibilities Due Diligence Support

  • Undertake due diligence across relevant business and functional divisions working closely with the legal project leads.
  • This will include supporting the design and implementation of the due diligence framework (such as the preparation and maintenance of request lists, trackers, and reporting templates).
  • Where required, synthesise and summarize due diligence findings for senior stakeholders, transaction governance committees, and external advisers.
  • Support the coordination of due diligence workstreams to help ensure consistency of approach and timely delivery.
  • Work collaboratively with internal legal teams, business stakeholders, finance, tax, compliance, and other functional teams to identify, assess, and document key risks. Support the preparation of the due diligence report and liaise with external legal advisers as required

Re-papering Support

  • Assist with repapering and updating client and vendor contracts, including reviewing templates, preparing amendments and restatements, and coordinating execution to ensure documents are accurate, consistent, and completed on time.
  • You’ll track progress, maintain clear records, and work closely with stakeholders to help deliver compliant, well-controlled contract updates across the business.

Support for Foreign Law and Other Advice

  • Assist with the coordination of foreign law and other advice required in connection with the transaction.
  • Working closely with the legal project leads, support the identification of jurisdictions requiring foreign law advice and contribute to defining the scope of instructions.
  • Assist with the coordination of external foreign counsel across relevant jurisdictions, helping to ensure consistency of approach, quality of output, and adherence to agreed timelines and budgets.
  • Assist with the review and collation of foreign law and other advice, help identify cross-jurisdictional risks, and support the reflection of foreign law considerations in transaction documentation and due diligence reporting.
  • Help maintain a central tracker of instructions and deliverables and assist with providing regular updates to the transaction lead and senior stakeholders.

General Legal Support

  • Provide professional legal advice, guidance and support across a range of legal matters as assigned.

Job Requirements

  • Qualified lawyer with at least 2-7 years of relevant post qualification experience.
  • Experienced and confident practitioner.
  • Candidates with financial services background is preferred.
  • Demonstrable experience of managing multi-jurisdictional corporate transactions (including due diligence exercises on a large-scale). Experienced in coordinating and managing external legal advisers across multiple jurisdictions.
  • Detail-oriented, highly organized, strong project management skills with the ability to manage and prioritize competing demands across multiple workstreams.
  • Excellent communication and interpersonal skills, with the ability to engage effectively with internal and external stakeholders as may be required.
  • Ability to handle a diverse range of issues and work under pressure.
  • Lateral thinking/problem solving
  • A collaborative teammate with good situational awareness, but also a self-starter who is able to work independently.
