About team: As part of ByteDance Global Legal team, the Corporate and Transaction department provides legal advice on complex corporate architecture, high-stakes strategic transactions, financing, and a broad spectrum of critical corporate matters that drive our worldwide growth.
Responsibilities - Lead legal support for the full transaction lifecycle, including non-disclosure agreements, letters of intent, due diligence, document drafting, and closing. - Collaborate with tax, finance, and external advisors to design tax-efficient and legally robust deal structures (e.g., asset vs. stock deals, mergers, joint ventures, and minority investments). - Act as the lead negotiator for definitive transaction documents, ensuring the company’s commercial interests are protected. - Identify and manage multi-jurisdictional regulatory hurdles, including anti-trust/competition filings, foreign investment screenings (e.g., CFIUS), and industry-specific regulations. - Advise leadership on potential legal, reputational, and business risks associated with overseas targets. - Partner with cross-functional teams on post-merger integration (PMI) to ensure a seamless transition and legal compliance of newly acquired entities. - Select and manage outside counsel across various global jurisdictions, ensuring high-quality work product and cost-effective fee management. - Inform and refine the company’s internal "M&A Playbook," standardizing templates and best practices for global scalability.
